Welcome to Monoloque. By using our platform, you agree to the following terms. Please read them carefully.
1. Definitions
In these Terms of Service, the following definitions apply:
- "Monoloque" or "Platform" refers to the online platform operated by Monoloque, a sole proprietorship (eenmanszaak) registered with the Dutch Chamber of Commerce (KVK).
- "Artist" refers to any DJ, musician, producer, or performer who creates an account on the Platform to offer performance services.
- "Organizer" refers to any venue, promoter, festival, agency, radio station, or other party within the music ecosystem that creates an account on the Platform to book Artists.
- "User" refers to any Artist or Organizer with an account on the Platform.
- "Booking" refers to an agreement between an Artist and an Organizer for a performance, facilitated through the Platform.
- "Booking Fee" refers to the agreed-upon compensation for the Artist's performance.
- "Commission" refers to the percentage fee Monoloque charges the Organizer for facilitating a Booking.
- "Trust Level" refers to the Organizer's payment reliability score on the Platform.
2. Role of Monoloque
Monoloque operates as an intermediary (bemiddelaar) that connects Artists with Organizers. Monoloque is not a party to the Booking agreement between Artist and Organizer.
Specifically:
- Monoloque facilitates matching, communication, and payment processing between Artists and Organizers.
- The Booking agreement is concluded directly between the Artist and the Organizer.
- Monoloque is authorized to collect payments on behalf of Artists pursuant to PSD2 Article 3(b) (Commercial Agent Exemption).
- Monoloque charges a Commission to the Organizer for its intermediary services.
- Monoloque is not responsible for the quality of performances, the suitability of venues, or the fulfillment of obligations between Artists and Organizers.
3. User Accounts
You must be at least 18 years old to create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date.
You are responsible for maintaining the confidentiality of your account credentials. You may not create accounts for others without their permission or use another person's account.
Monoloque reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.
4. Artist Obligations
By registering as an Artist, you agree to:
- Provide accurate business information, including your legal name or trade name, address, KVK number, BTW number (or KOR exemption status), and IBAN.
- Authorize Monoloque to generate invoices on your behalf (see Section 10).
- Authorize Monoloque to collect payments from Organizers on your behalf.
- Accept monthly payouts via SEPA bank transfer (see Section 9).
- Confirm that you are an independent contractor (zelfstandig ondernemer) and that no employment relationship exists with Monoloque.
- Fulfill performance obligations agreed upon in Bookings.
These obligations are further detailed in the Artist Agreement, which is accepted during onboarding.
5. Organizer Obligations
By registering as an Organizer, you agree to:
- Pay the Booking Fee and Commission via the Platform's payment system at the time of booking confirmation.
- Pay any outstanding balances from previous Bookings before confirming new Bookings.
- Provide accurate event information, including dates, times, venue details, and equipment provisions.
- Fulfill all obligations agreed upon in the Booking contract.
- Pay any remaining balance (rest payment) within 14 days after the event, if applicable based on your Trust Level.
6. Commission & Payment
6.1 Commission
Monoloque charges the Organizer a Commission on each Booking. The applicable Commission percentage is displayed during booking confirmation before payment. The Commission is calculated as a percentage of the agreed Booking Fee.
The Commission is non-refundable once the Booking is confirmed, unless the Booking is cancelled by the Artist (see Section 12).
6.2 Payment at Booking Confirmation
When confirming a Booking, the Organizer pays via iDEAL | Wero or Bancontact through our payment partner Mollie. The payment includes:
- The Booking Fee deposit (percentage determined by the Organizer's Trust Level).
- The full Commission amount.
- Any outstanding balances from previous Bookings, if applicable.
A Booking is only confirmed after successful payment. No Booking agreement is concluded without completed payment.
6.3 Transaction Fee (Artists)
A transaction fee of €2.50 is deducted from each Booking payout to the Artist. This fee covers payment processing and platform costs. The transaction fee is clearly displayed on the Billing page and during payout setup. By setting up payouts, Artists consent to this deduction.
6.4 Payment Flow
All payments are processed through Monoloque's payment account with Mollie B.V. Monoloque collects the full payment amount and distributes funds as follows:
- The Commission is retained by Monoloque.
- The Booking Fee (minus Commission and Artist transaction fee of €2.50) is paid out to the Artist.
- Any outstanding balance settlements are allocated to the respective Artists.
7. Trust Level System
Monoloque uses a Trust Level system to manage payment risk and reward reliable Organizers with flexible payment terms.
7.1 Trust Levels
- New: Fewer than 5 completed events. The Organizer pays 100% of the Booking Fee upfront, plus Commission.
- Trusted: 5 or more completed events with no outstanding balances. The Organizer pays 75% upfront, 25% is collected automatically after the event via SEPA Direct Debit.
- Arrears: One or more unpaid or reversed payments. The Organizer pays 100% upfront plus all outstanding balances before a new Booking can be confirmed.
7.2 Trust Level Changes
Trust Levels are calculated automatically based on the number of unique completed events and payment behavior. Monoloque reserves the right to adjust Trust Levels at its discretion in cases of suspected fraud or abuse.
Organizers with outstanding balances or reversed payments are restricted until all debts are settled.
8. Rest Payments
For Organizers with Trust Level "Trusted", the remaining 25% of the Booking Fee is collected automatically via SEPA Direct Debit on the first Monday after the event.
If the rest payment is not received within the payment term:
- Day 7: An automatic payment reminder is sent.
- Day 14: A second reminder is sent.
- Day 21: The Organizer's Trust Level is downgraded to "Arrears". The outstanding amount is registered as a debt.
- Day 30+: The outstanding amount must be settled with the next Booking payment.
Monoloque ensures that Artists are paid regardless of whether the Organizer settles the rest payment on time. Outstanding debts are recovered from the Organizer's subsequent Bookings.
9. Artist Payouts
Artists are paid monthly via SEPA bank transfer to the IBAN registered in their account.
- Payouts cover all completed Bookings from the previous calendar month.
- The Commission is deducted before payout.
- Payouts are processed on the 1st of each month, with transfers executed by the 15th.
- Artists receive a detailed breakdown per Booking in their dashboard.
- A payout overview (PDF) is available for download for accounting purposes.
Monthly payouts are an administrative consolidation of individual Booking payments. Each Booking constitutes a separate engagement. The payout schedule does not create an employment relationship between Monoloque and the Artist (see Section 4).
10. Invoicing
By accepting these Terms and the Artist Agreement, Artists authorize Monoloque to generate invoices on their behalf.
- Invoices are issued in the Artist's name, using the business information provided during onboarding.
- Invoices comply with Dutch tax law requirements (including KVK number, BTW number, sequential invoice numbering, and proper BTW calculation).
- Artists are responsible for the accuracy of their business information. Incorrect information may result in invalid invoices.
- All invoices are available for download (PDF) in the Artist's and Organizer's dashboard.
Invoicing is consolidated monthly to keep administration manageable for all parties:
- Monthly artist invoice (Artist to Organizer), covering all completed Bookings for that calendar month, with a line item per Booking.
- Monthly commission invoice (Monoloque to Organizer), covering the Commission on all Bookings for that calendar month.
Invoices are generated on the 1st of each month for the previous calendar month. Each Booking is listed as a separate line item on the consolidated invoice.
11. Subscriptions
Artist accounts on Monoloque are always free. Organizers can access optional subscription plans with additional features. Subscriptions are billed every 4 weeks (13 billing cycles per year) via iDEAL | Wero or Bancontact through Mollie.
- Subscriptions renew automatically every 4 weeks unless cancelled before the renewal date.
- Cancellation takes effect at the end of the current billing period. No pro-rata refunds are provided for the remaining period.
- Monoloque reserves the right to change subscription pricing with 30 days notice. Existing subscribers are notified via email.
12. Cancellation & Refunds
12.1 Cancellation by Organizer
- Cancellation more than 14 days before the event: the deposit is refunded to the Organizer, minus the Commission (non-refundable).
- Cancellation within 14 days of the event: 50% of the deposit is refunded. The Commission is non-refundable.
- Cancellation within 48 hours of the event or no-show: no refund.
12.2 Cancellation by Artist
- If the Artist cancels for any reason: the full deposit is refunded to the Organizer, and the Commission is refunded.
- Repeated cancellations by an Artist may result in account restrictions.
12.3 Force Majeure
Neither party shall be liable for cancellation due to circumstances beyond reasonable control, including but not limited to government restrictions, natural disasters, or public health emergencies. In force majeure cases, the deposit is fully refunded and the Commission is refunded.
13. Content
You retain ownership of content you upload to the Platform, including audio tracks, profile information, images, and event descriptions. By uploading content, you grant Monoloque a non-exclusive, royalty-free license to use it for the purpose of providing the Platform's services (matching, display, booking facilitation).
You are responsible for ensuring that you have the rights to upload any content. You may not upload content that infringes on third-party intellectual property rights.
14. Prohibited Use
You may not use the Platform to:
- Circumvent the payment system by arranging direct payments to avoid Commission.
- Provide false or misleading information in your profile, Bookings, or business details.
- Harass, threaten, or discriminate against other Users.
- Attempt to access other Users' accounts or data.
- Scrape, crawl, or otherwise extract data from the Platform without permission.
- Use the Platform for any illegal purpose.
15. Limitation of Liability
Monoloque is provided "as is" without warranties of any kind, express or implied. Monoloque is not liable for:
- Disputes between Artists and Organizers regarding performance quality, event conditions, or contractual obligations.
- Loss of revenue or damages resulting from cancelled Bookings, subject to the refund policy in Section 12.
- Temporary unavailability of the Platform due to maintenance or technical issues.
- Actions or omissions of third-party service providers (including Mollie B.V.).
Monoloque's total liability shall in no event exceed the total Commission fees paid by or to the User in the 12 months preceding the claim.
16. Dispute Resolution
In the event of a dispute between an Artist and an Organizer, both parties are encouraged to resolve the matter directly. Monoloque may, at its discretion, mediate disputes but is not obligated to do so.
Disputes regarding Monoloque's services, Commission, or payment processing should be directed to info@monoloque.nl.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms that cannot be resolved amicably shall be submitted to the competent court in Amsterdam, the Netherlands.
18. Changes to Terms
Monoloque may update these Terms from time to time. Users will be notified of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
